주식ㆍ사채 등의 전자등록에 관한 법률 제59조(발행 절차 및 발행 한도에 관한 특례)

제2조제1호나목 또는 마목에 따른 권리(이하 이 조에서 "사채등"이라 한다)로서 다음 각 호의 요건을 모두 갖추고 전자등록된 것(이하 "단기사채등"이라 한다)을 발행하려는 자는 「상법」 제469조제4항(다른 법률에서 준용하는 경우를 포함한다)에도 불구하고 이사회가 정하는 발행 한도(미상환된 단기사채등의 발행 잔액을 기준으로 한다) 이내에서 대표이사에게 단기사채등의 발행 권한을 위임할 수 있다. 이 경우 해당 발행인이 이사회 또는 대표이사의 기능을 수행하는 다른 기구 등을 둔 경우에는 명칭과 관계없이 그 다른 기구 등을 각각 이 법에 따른 이사회 또는 대표이사로 본다.
