Enforcement Decree of the Special Act on the Establishment and Operation of Internet-Only Banks, Article 6 (Grounds for Exceptions to the Prohibition on Acquiring Equity Securities of Major Shareholders)
① 법 제9조제1항 단서에서 "대통령령으로 정하는 경우"란 다음 각 호의 어느 하나에 해당하는 경우를 말한다.
(1) "Cases prescribed by Presidential Decree" in the proviso of Article 9 (1) of the Act means any of the following:
1. 대물변제로 인하여 대주주(「은행법」 제35조의3제1항 본문에 따른 대주주를 말한다. 이하 이 조에서 같다)가 발행한 지분증권(「자본시장과 금융투자업에 관한 법률」 제4조제4항에 따른 지분증권을 말한다. 이하 이 조에서 같다)을 수령하는 경우
1. Where equity securities (meaning equity securities under Article 4 (4) of the Financial Investment Services and Capital Markets Act; the same applies hereinafter in this Article) issued by a major shareholder (meaning a major shareholder under the main text of Article 35-3 (1) of the Banking Act; the same applies hereinafter in this Article) are received in satisfaction of a debt in kind;
2. 기업 간 합병 또는 영업의 양수, 동일인 구성의 변동 등에 따라 이미 소유하고 있는 지분증권이 대주주가 발행한 지분증권으로 되는 경우
2. Where equity securities already owned become equity securities issued by a major shareholder due to a merger between enterprises, acquisition of a business, a change in the composition of the same person, etc.;
3. 그 밖에 영업과정에서 인터넷전문은행의 귀책사유가 아닌 사유로 발생한 불가피한 경우로서 금융위원회가 정하여 고시하는 경우
3. Other unavoidable cases arising in the course of business for reasons not attributable to the Internet-only bank, as determined and publicly notified by the Financial Services Commission.
② 법 제9조제2항 단서에서 "대통령령으로 정하는 부득이한 사유에 해당하는 경우"란 다음 각 호의 어느 하나에 해당하는 경우로서 부득이하다고 금융위원회가 인정하는 경우를 말한다.
(2) "Cases involving unavoidable reasons prescribed by Presidential Decree" in the proviso of Article 9 (2) of the Act means any of the following cases that the Financial Services Commission recognizes as unavoidable:
1. 인터넷전문은행이 보유한 지분증권의 규모가 커서 1년 이내에 처분하기 어려운 경우
1. Where the scale of equity securities held by the Internet-only bank is large and disposal within one year is difficult;
2. 급격한 증권시장의 변화 등으로 1년 이내에 지분증권을 처분하면 인터넷전문은행의 건전성에 부정적 영향을 끼칠 것이 우려되는 경우
2. Where disposal of equity securities within one year is feared to adversely affect the soundness of the Internet-only bank due to sudden changes in the securities market, etc.
