상법 제360조의23(주식이전무효의 소)

①주식이전의 무효는 각 회사의 주주ㆍ이사ㆍ감사ㆍ감사위원회의 위원 또는 청산인에 한하여 주식이전의 날부터 6월내에 소만으로 이를 주장할 수 있다.

②제1항의 소는 완전모회사가 되는 회사의 본점소재지의 지방법원의 관할에 전속한다.

(2) The^ð디 action액션 under언더 paragraph패^r러그^r래^f프 (1) shall섈 be비 subject서브젝트 to투 the^ð디 exclusive익스클루시^v브 jurisdiction주^r러스딕션 of어^v브 the^ð더 district디스트^r릭트 court코트 at앳 the^ð더 location로케이션 of어^v브 the^ð더 head헤드 office오^f피스 of어^v브 the^ð더 company컴퍼니 that^ð댓 becomes비컴즈 the^ð더 wholly호울리 owning오우닝 parent페^r런트 company.컴퍼니

③주식이전을 무효로 하는 판결이 확정된 때에는 완전모회사가 된 회사는 주식이전을 위하여 발행한 주식의 주주에 대하여 그가 소유하였던 완전자회사가 된 회사의 주식을 이전하여야 한다.

④제187조 내지 제193조 및 제377조의 규정은 제1항의 소에, 제339조 및 제340조제3항의 규정은 제3항의 경우에 각각 이를 준용한다.
