상법 제360조의24(지배주주의 매도청구권)

① 회사의 발행주식총수의 100분의 95 이상을 자기의 계산으로 보유하고 있는 주주(이하 이 관에서 "지배주주"라 한다)는 회사의 경영상 목적을 달성하기 위하여 필요한 경우에는 회사의 다른 주주(이하 이 관에서 "소수주주"라 한다)에게 그 보유하는 주식의 매도를 청구할 수 있다.

② 제1항의 보유주식의 수를 산정할 때에는 모회사와 자회사가 보유한 주식을 합산한다. 이 경우 회사가 아닌 주주가 발행주식총수의 100분의 50을 초과하는 주식을 가진 회사가 보유하는 주식도 그 주주가 보유하는 주식과 합산한다.

③ 제1항의 매도청구를 할 때에는 미리 주주총회의 승인을 받아야 한다.

(3) A어 demand디맨드 for^f포 sale세일 under언더 paragraph패^r러그^r래^f프 (1) requires^r리콰이어즈 the^ð더 prior프^r라이어 approval어프^r루^v블 of어^v브 the^ð더 general제너^r럴 meeting미팅 of어^v브 shareholders.셰어호울더즈

④ 제3항의 주주총회의 소집을 통지할 때에는 다음 각 호에 관한 사항을 적어야 하고, 매도를 청구하는 지배주주는 주주총회에서 그 내용을 설명하여야 한다.

⑤ 지배주주는 매도청구의 날 1개월 전까지 다음 각 호의 사실을 공고하고, 주주명부에 적힌 주주와 질권자에게 따로 그 통지를 하여야 한다.

⑥ 제1항의 매도청구를 받은 소수주주는 매도청구를 받은 날부터 2개월 내에 지배주주에게 그 주식을 매도하여야 한다.

(6) A어 minority마이노^r러티 shareholder셰어호울더 who후 has해즈 received^r러시^v브드 a어 demand디맨드 for^f포 sale세일 under언더 paragraph패^r러그^r래^f프 (1) shall섈 sell셀 his히즈 or오 her허 shares셰어즈 to투 the^ð더 controlling컨트^r로울링 shareholder셰어호울더 within위^ð딘 two투 months먼^θ쓰 from^f프^r럼 the^ð더 date데잇 of어^v브 receipt^r리싯 of어^v브 the^ð더 demand.디맨드

⑦ 제6항의 경우 그 매매가액은 매도청구를 받은 소수주주와 매도를 청구한 지배주주 간의 협의로 결정한다.

(7) In인 the^ð더 case케이스 of어^v브 paragraph패^r러그^r래^f프 (6), the^ð더 sale세일 price프^r라이스 shall섈 be비 determined디터먼드 by바이 agreement어그^r리먼트 between비트윈 the^ð더 minority마이노^r러티 shareholder셰어호울더 who후 received^r러시^v브드 the^ð더 demand디맨드 for^f포 sale세일 and앤드 the^ð더 controlling컨트^r로울링 shareholder셰어호울더 who후 made메이드 it.잇

⑧ 제1항의 매도청구를 받은 날부터 30일 내에 제7항의 매매가액에 대한 협의가 이루어지지 아니한 경우에는 매도청구를 받은 소수주주 또는 매도청구를 한 지배주주는 법원에 매매가액의 결정을 청구할 수 있다.

⑨ 법원이 제8항에 따라 주식의 매매가액을 결정하는 경우에는 회사의 재산상태와 그 밖의 사정을 고려하여 공정한 가액으로 산정하여야 한다.
