Social Welfare Services Act, Article 22-3 (Appointment of Temporary Directors)

① 법인이 다음 각 호의 어느 하나에 해당하여 법인의 정상적인 운영이 어렵다고 판단되는 경우 시ㆍ도지사는 지체 없이 이해관계인의 청구 또는 직권으로 임시이사를 선임하여야 한다. <개정 2019.1.15>

1. 제20조에 따른 기간 내에 결원된 이사를 보충하지 아니하거나 보충할 수 없는 것이 명백한 경우

② 임시이사는 제1항에 따른 사유가 해소될 때까지 재임한다.

③ 시ㆍ도지사는 임시이사가 선임되었음에도 불구하고 해당 법인이 정당한 사유 없이 이사회 소집을 기피할 경우 이사회 소집을 권고할 수 있다.

④ 제1항에 따른 임시이사의 선임 등에 필요한 사항은 보건복지부령으로 정한다.

⑤ 제1항제2호에 따라 임시이사를 선임하는 경우 제22조의2제1항 단서에 따라 직무집행이 정지된 이사는 자신의 해임명령 이행을 위한 이사회와 관련해서는 이사로 보지 않으며, 이 경우 해당 임시이사가 직무집행이 정지된 이사의 지위를 대신한다. <신설 2019.1.15>
