금융지주회사법 제62조의2(주식교환 및 주식이전에 관한 특례)

①주식교환 또는 주식이전에 의하여 자회사가 금융지주회사의 주식을 취득하거나 손자회사가 자회사의 주식을 취득한 때에는 당해 주식중 다음 각 호의 어느 하나에 해당하는 자기주식의 교환대가로 배정받은 금융지주회사 또는 자회사의 주식에 대하여 「상법」 제342조의2의 규정을 적용함에 있어서 동조제2항중 "6월"은 "3년"으로 본다. <개정 2007.8.3, 2009.7.31, 2013.4.5>

②금융지주회사를 설립(금융지주회사등이 자회사 또는 손자회사를 새로 편입하는 경우를 포함한다. 이하 이 조에서 같다)하거나 기존 자회사 또는 손자회사의 주식을 모두 소유하기 위한 주식교환 또는 주식이전에 관하여 「상법」의 규정을 적용함에 있어서 동법 제354조제4항 본문, 제360조의4제1항 각 호 외의 부분, 제360조의5제2항, 제360조의9제2항 본문, 제360조의10제4항, 제360조의17제1항 각 호 외의 부분 및 제363조제1항 본문 중 "2주"는 각각 "7일"로, 같은 법 제360조의5제1항ㆍ제2항 중 "20일"은 각각 "10일"로, 같은 법 제360조의8제1항 각 호 외의 부분 중 "1월전에"는 "5일전에"로, 동법 제360조의10제5항중 "주식교환에 반대하는 의사를 통지한 때에는"은 "주식교환에 반대하는 의사를 제4항의 통지 또는 공고의 날부터 7일 이내에 통지한 때에는"으로, 동법 제360조의19제1항제2호중 "1월을 초과하여 정한 기간내에"는 "5일 이상의 기간을 정하여 그 기간내에"로, 동법 제374조의2제2항중 "2월 이내에"는 "1월 이내에"로 본다. <개정 2007.8.3, 2009.7.31>

③금융지주회사를 설립하거나 기존 자회사 또는 손자회사의 주식을 모두 소유하기 위한 주식교환 또는 주식이전에 반대하는 주주와 회사간에 주식 매수가격에 관한 협의가 이루어지지 아니하는 경우의 주식 매수가격은 「상법」 제360조의5제3항에서 준용하는 동법 제374조의2제4항 및 제5항의 규정에 불구하고 다음 각호의 구분에 의하여 산정된 금액으로 한다. <개정 2007.8.3, 2009.7.31>

④금융지주회사를 설립하거나 기존 자회사 또는 손자회사의 주식을 모두 소유하기 위하여 주식교환 또는 주식이전을 하는 회사 또는 「상법」 제360조의5에 따라 주식매수를 청구한 주식수의 100분의 30 이상을 소유하는 주주가 제3항의 규정에 의하여 산정된 주식의 매수가격에 반대하는 경우 당해 회사 또는 주주는 같은 법 제374조의2제2항에 따라 매수를 종료하여야 하는 날의 10일 전까지 금융위원회에 그 매수가격의 조정을 신청할 수 있다. <개정 2007.8.3, 2008.2.29, 2009.7.31>
