Financial Investment Services and Capital Markets Act, Article 165-3 (Special Cases concerning Acquisition and Disposal of Treasury Shares)

① 주권상장법인은 다음 각 호의 방법으로 자기주식을 취득할 수 있다.

1. 「상법」 제341조제1항에 따른 방법

2. 신탁계약에 따라 자기주식을 취득한 신탁업자로부터 신탁계약이 해지되거나 종료된 때 반환받는 방법(신탁업자가 해당 주권상장법인의 자기주식을 「상법」 제341조제1항의 방법으로 취득한 경우로 한정한다)

2. ② 제1항의 경우 자기주식의 취득가액의 총액은 「상법」 제462조제1항에 따른 이익배당을 할 수 있는 한도 이내이어야 한다.

③ 주권상장법인은 제1항의 방법 또는 「상법」 제341조제1항 각 호의 어느 하나에 해당하는 방법으로 자기주식을 취득하는 경우에는 같은 조 제2항에도 불구하고 이사회의 결의로써 자기주식을 취득할 수 있다.

④ 주권상장법인은 제1항에 따라 자기주식을 취득(자기주식을 취득하기로 하는 신탁업자와의 신탁계약의 체결을 포함한다)하거나 이에 따라 취득한 자기주식을 처분(자기주식을 취득하기로 하는 신탁업자와의 신탁계약의 해지를 포함한다)하는 경우에는 대통령령으로 정하는 요건ㆍ방법 등의 기준에 따라야 한다.
