상법 제408조의5(대표집행임원)

① 2명 이상의 집행임원이 선임된 경우에는 이사회 결의로 집행임원 설치회사를 대표할 대표집행임원을 선임하여야 한다. 다만, 집행임원이 1명인 경우에는 그 집행임원이 대표집행임원이 된다.

② 대표집행임원에 관하여는 이 법에 다른 규정이 없으면 주식회사의 대표이사에 관한 규정을 준용한다.
