수산업협동조합법 제45조(이사회)

① 지구별수협에 이사회를 둔다.

(1) A어 district디스트^r릭트 cooperative코아퍼^r레이티^v브 shall섈 have해^v브 a어 board보드 of어^v브 directors.더^r렉터즈

② 이사회는 조합장을 포함한 이사로 구성하되, 조합장이 소집한다.

(2) The^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 be비 composed컴포우즈드 of어^v브 directors더^r렉터즈 including인클루딩 the^ð더 chairperson체어퍼슨 of어^v브 the^ð더 cooperative,코아퍼^r레이티^v브 and앤드 shall섈 be비 convened컨^v빈드 by바이 the^ð더 chairperson체어퍼슨 of어^v브 the^ð더 cooperative.코아퍼^r레이티^v브

③ 이사회는 다음 각 호의 사항을 의결한다.

(3) The^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 resolve^r리잘^v브 on안 the^ð더 following^f팔로잉 matters:매터즈

④ 이사회는 구성원 과반수의 출석으로 개의하고 출석구성원 과반수의 찬성으로 의결한다.

(4) The^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 open오우픈 with위^ð드 the^ð디 attendance어텐든스 of어^v브 a어 majority머조^r러티 of어^v브 its잇츠 constituents컨스티추언츠 and앤드 resolve^r리잘^v브 by바이 the^ð디 approval어프^r루^v블 of어^v브 a어 majority머조^r러티 of어^v브 the^ð더 constituents컨스티추언츠 present.프^r레전트

⑤ 간부직원은 이사회에 출석하여 의견을 진술할 수 있다.

(5) Executive이그제큐티^v브 employees엠플로이이즈 may메이 attend어텐드 the^ð더 board보드 of어^v브 directors더^r렉터즈 and앤드 state스테잇 their^ð데어 opinions.어피니언즈

⑥ 이사회의 운영에 필요한 사항은 정관으로 정한다.

⑦ 이사회에서 의결할 때에는 해당 안건과 특별한 이해관계가 있는 이사회의 구성원은 그 안건의 의결에 참여할 수 없다. 이 경우 의결에 참여하지 못하는 이사 등은 제4항에 따른 이사회의 구성원 수에 포함되지 아니한다.
