하도급거래 공정화에 관한 법률 제12조의3(기술자료 제공 요구 금지 등)

① 원사업자는 수급사업자의 기술자료를 본인 또는 제3자에게 제공하도록 요구하여서는 아니 된다. 다만, 원사업자가 정당한 사유를 입증한 경우에는 요구할 수 있다. <개정 2011.3.29>

② 원사업자는 제1항 단서에 따라 수급사업자에게 기술자료를 요구할 경우에는 요구목적, 권리귀속 관계, 대가 등 대통령령으로 정하는 사항을 해당 수급사업자와 미리 협의하여 정한 후 그 내용을 적은 서면을 해당 수급사업자에게 주어야 한다. <신설 2011.3.29, 2021.8.17>

③ 수급사업자가 원사업자에게 기술자료를 제공하는 경우 원사업자는 해당 기술자료를 제공받는 날까지 해당 기술자료의 범위, 기술자료를 제공받아 보유할 임직원의 명단, 비밀유지의무 및 목적 외 사용금지, 위반 시 배상 등 대통령령으로 정하는 사항이 포함된 비밀유지계약을 수급사업자와 체결하여야 한다. <신설 2021.8.17>

④ 원사업자는 취득한 수급사업자의 기술자료에 관하여 부당하게 다음 각 호의 어느 하나에 해당하는 행위(하도급계약 체결 전 행한 행위를 포함한다)를 하여서는 아니 된다. <개정 2018.4.17, 2021.8.17, 2022.1.11>
