상법 제439조(자본금 감소의 방법, 절차)

① 자본금 감소의 결의에서는 그 감소의 방법을 정하여야 한다.

② 자본금 감소의 경우에는 제232조를 준용한다. 다만, 결손의 보전을 위하여 자본금을 감소하는 경우에는 그러하지 아니하다.

③ 사채권자가 이의를 제기하려면 사채권자집회의 결의가 있어야 한다. 이 경우에는 법원은 이해관계인의 청구에 의하여 사채권자를 위하여 이의 제기 기간을 연장할 수 있다.
