상법 제432조(무효판결과 주주에의 환급)

①신주발행무효의 판결이 확정된 때에는 회사는 신주의 주주에 대하여 그 납입한 금액을 반환하여야 한다.

②전항의 금액이 전조제1항의 판결확정시의 회사의 재산상태에 비추어 현저하게 부당한 때에는 법원은 회사 또는 전항의 주주의 청구에 의하여 그 금액의 증감을 명할 수 있다.

③제339조와 제340조제1항, 제2항의 규정은 제1항의 경우에 준용한다.
