상법 제391조의2(감사의 이사회출석ㆍ의견진술권)

①감사는 이사회에 출석하여 의견을 진술할 수 있다.

②감사는 이사가 법령 또는 정관에 위반한 행위를 하거나 그 행위를 할 염려가 있다고 인정한 때에는 이사회에 이를 보고하여야 한다.
