한국해운조합법 제23조의2(임원의 의무와 책임)

① 임원은 법령ㆍ정관ㆍ규약ㆍ사무규정 및 총회 또는 이사회의 의결을 준수하고 조합을 위하여 성실하게 그 직무를 수행하여야 한다.

② 임원이 그 직무를 수행하면서 고의 또는 과실(비상임 임원인 경우에는 중대한 과실을 말한다)로 조합이나 타인에게 손해를 끼친 경우 그 임원은 연대하여 손해배상책임을 진다.

③ 임원이 거짓으로 결산보고ㆍ등기 또는 공고를 하여 조합이나 타인에게 손해를 끼친 경우에도 제2항과 같다.

④ 이사회가 고의 또는 중대한 과실로 조합이나 타인에게 손해를 끼친 경우에는 그 고의 또는 중대한 과실에 관련된 이사회에 출석한 임원은 그 손해에 대하여 연대하여 손해배상책임을 진다. 다만, 그 회의에서 반대의사를 표시한 임원은 그러하지 아니하다.
