중소기업협동조합법 제45조(총회의 소집)

①총회는 이사장이 소집한다.

②조합원이 총 조합원 4분의 1 이상의 동의를 받아 소집의 목적과 이유를 적은 서면으로 총회의 소집을 청구하면 이사장은 청구가 있은 날부터 2주일 이내에 임시총회를 소집하여야 한다.

(2) Where웨어 members,멤버즈 with위^ð드 the^ð더 consent컨센트 of어^v브 at앳 least리스트 one-fourth원-^f포^θ스 of어^v브 all올 members,멤버즈 request^r리퀘스트 convening컨^v비닝 of어^v브 a어 general제너^r럴 meeting미팅 in인 a어 document다큐멘트 stating스테이팅 the^ð더 purpose퍼퍼스 and앤드 reasons^r리즌즈 for^f포 convening,컨^v비닝 the^ð더 chairperson체어퍼슨 of어^v브 the^ð더 board보드 shall섈 convene컨^v빈 an앤 extraordinary엑스트^r러오더네^r리 general제너^r럴 meeting미팅 within위^ð딘 two투 weeks윅스 from^f프^r럼 the^ð더 date데잇 of어^v브 the^ð더 request.^r리퀘스트

③조합원이 제2항에 따라 총회의 소집을 청구하였으나 총회를 소집할 자가 없거나 그 청구가 있은 날부터 2주일 이내에 이사장이 총회를 소집하지 아니한 때에는 감사가 7일 이내에 소집하여야 한다. 이 경우 감사가 의장의 직무를 수행한다.

(3) Where웨어 members멤버즈 have해^v브 requested^r리퀘스티드 convening컨^v비닝 of어^v브 a어 general제너^r럴 meeting미팅 under언더 paragraph패^r러그^r래^f프 (2) but벗 there^ð데어 is이즈 no노우 person퍼슨 to투 convene컨^v빈 the^ð더 general제너^r럴 meeting미팅 or오 the^ð더 chairperson체어퍼슨 of어^v브 the^ð더 board보드 has해즈 not낫 convened컨^v빈드 the^ð더 general제너^r럴 meeting미팅 within위^ð딘 two투 weeks윅스 from^f프^r럼 the^ð더 date데잇 of어^v브 the^ð더 request,^r리퀘스트 the^ð디 auditor오디터 shall섈 convene컨^v빈 it잇 within위^ð딘 seven세^v븐 days.데이즈 In인 such서치 cases,케이시즈 the^ð디 auditor오디터 shall섈 perform퍼^f폼 the^ð더 duties두티즈 of어^v브 the^ð더 chair.체어

④감사가 제3항의 기한 이내에 총회를 소집하지 아니하거나 소집할 수 없으면 제2항에 따라 총회의 소집을 청구한 조합원의 대표가 소집한다. 이 경우 조합원의 대표가 의장의 직무를 수행한다.

(4) Where웨어 the^ð디 auditor오디터 does더즈 not낫 convene컨^v빈 the^ð더 general제너^r럴 meeting미팅 within위^ð딘 the^ð더 period피^r리어드 under언더 paragraph패^r러그^r래^f프 (3) or오 cannot캐낫 convene컨^v빈 it,잇 the^ð더 representative^r레프^r러젠터티^v브 of어^v브 the^ð더 members멤버즈 who후 requested^r리퀘스티드 convening컨^v비닝 of어^v브 the^ð더 general제너^r럴 meeting미팅 under언더 paragraph패^r러그^r래^f프 (2) shall섈 convene컨^v빈 it.잇 In인 such서치 cases,케이시즈 the^ð더 representative^r레프^r러젠터티^v브 of어^v브 the^ð더 members멤버즈 shall섈 perform퍼^f폼 the^ð더 duties두티즈 of어^v브 the^ð더 chair.체어

⑤이사장이 궐위되거나 부득이한 사유로 총회를 소집할 수 없으면 정관으로 정하는 순위의 이사가 소집한다.

(5) Where웨어 the^ð더 post포우스트 of어^v브 chairperson체어퍼슨 of어^v브 the^ð더 board보드 is이즈 vacant^v베이컨트 or오 the^ð더 chairperson체어퍼슨 cannot캐낫 convene컨^v빈 the^ð더 general제너^r럴 meeting미팅 for^f포 unavoidable어너^v보이더블 reasons,^r리즌즈 a어 director더^r렉터 in인 the^ð디 order오더 prescribed프^r리스크^r라이브드 by바이 the^ð디 articles아터클즈 of어^v브 association어소우시에이션 shall섈 convene컨^v빈 it.잇
