신탁법 제91조(신탁의 합병계획서)
Trust Act, Article 91 (Plan for Merger of Trusts)
① 신탁을 합병하려는 경우 수탁자는 다음 각 호의 사항을 적은 합병계획서를 작성하여야 한다.
(1) Where trusts are to be merged, the trustee shall prepare a merger plan stating the following matters:
1. 신탁합병의 취지
1. The purport of the merger of the trusts;
2. 신탁합병 후의 신탁행위의 내용
2. The contents of the trust instrument after the merger of the trusts;
3. 신탁행위로 정한 수익권의 내용에 변경이 있는 경우에는 그 내용 및 변경이유
3. Where there is a change to the contents of the beneficial rights prescribed in the trust instrument, the contents and reasons for the change;
4. 신탁합병 시 수익자에게 금전과 그 밖의 재산을 교부하는 경우에는 그 재산의 내용과 가액
4. Where money or other property is to be delivered to beneficiaries upon the merger of the trusts, the contents and value of the property;
5. 신탁합병의 효력발생일
5. The effective date of the merger of the trusts; and
6. 그 밖에 대통령령으로 정하는 사항
6. Other matters prescribed by Presidential Decree.
② 수탁자는 각 신탁별로 위탁자와 수익자로부터 제1항의 합병계획서의 승인을 받아야 한다. 다만, 신탁행위로 달리 정한 경우에는 그에 따른다.
(2) The trustee shall obtain approval of the merger plan under paragraph (1) from the settlor and the beneficiary of each trust: Provided, That where the trust instrument provides otherwise, such provision applies.
③ 제1항의 합병계획서를 승인하지 아니하는 수익자는 합병계획서의 승인이 있은 날부터 20일 내에 수탁자에게 수익권의 매수를 서면으로 청구할 수 있다. 이 경우 제89조제2항부터 제8항까지의 규정을 준용한다.
(3) A beneficiary who does not approve the merger plan under paragraph (1) may demand in writing that the trustee purchase the beneficial right within 20 days from the date the merger plan was approved. In such cases, Article 89 (2) through (8) applies mutatis mutandis.
