상법 제205조(업무집행사원의 권한상실선고)

①사원이 업무를 집행함에 현저하게 부적임하거나 중대한 의무에 위반한 행위가 있는 때에는 법원은 사원의 청구에 의하여 업무집행권한의 상실을 선고할 수 있다.
