벤처기업육성에 관한 특별법 시행령 제11조의4(주식매수선택권 행사기간의 보장 등)

① 법 제16조의5제1항 본문에서 "대통령령으로 정하는 경우"란 주식매수선택권을 부여받은 자가 사망하거나 그 밖에 본인의 책임이 아닌 사유로 퇴임 또는 퇴직한 경우를 말한다. 이 경우 정년에 따른 퇴임 또는 퇴직은 본인의 책임이 아닌 사유에 포함되지 않는다.

② 벤처기업은 주식매수선택권의 행사기한을 임직원의 퇴임일 또는 퇴직일까지로 정하는 경우 그 임직원이 본인의 책임이 아닌 사유로 퇴임 또는 퇴직한 때에는 그 퇴임일 또는 퇴직일부터 3개월 이상의 행사기간을 추가로 부여해야 한다.

③ 법 제16조의5제1항 단서에서 "대통령령으로 정한 요건"이란 주식매수선택권을 부여받은 자가 벤처기업과 주식매수선택권의 부여와 관련된 용역계약을 체결하고 이를 이행한 경우를 말한다.

④ 제3항을 적용할 때 벤처기업이 정당한 사유 없이 일방적으로 용역계약을 취소하는 등 주식매수선택권을 부여받은 자의 책임 없는 사유로 용역계약을 이행하지 못한 경우에는 제3항에 따른 용역계약을 이행한 것으로 본다.
