금융지주회사법 시행령 제24조의3(주요출자자 발행주식의 취득한도 등)
Article 24-3 (Acquisition Limits for Shares Issued by Principal Investors, etc.)
①법 제45조의3제1항에서 "대통령령이 정하는 비율"이라 함은 100분의 1을 말한다.
(1) The "ratio prescribed by Presidential Decree" in Article 45-3 (1) of the Act means 1/100.
②은행지주회사등이 위탁자(위탁자가 지정하는 자를 포함한다. 이하 이 항에서 같다)가 신탁재산인 금전의 운용방법을 지정하는 신탁에 의하여 취득하는 것은 법 제45조의3제1항의 규정에 의한 주식의 취득으로 보지 아니한다. 다만, 위탁자가 은행지주회사등인 경우에는 그러하지 아니하다.
(2) Acquisition by a bank holding company, etc. through a trust in which the settlor (including a person designated by the settlor; the same applies hereinafter in this paragraph) designates the method of managing the trust property in money is not deemed an acquisition of shares under Article 45-3 (1) of the Act. ④법 제45조의3제3항 및 제4항에서 "대통령령이 정하는 금액"이라 함은 단일거래금액(법 제45조의3제3항의 경우에는 「자본시장과 금융투자업에 관한 법률」에 따른 증권시장 또는 이와 유사한 시장으로서 외국에 있는 시장에서 취득하는 금액을 제외한다)이 은행지주회사등의 자기자본의 순합계액의 1만분의 10에 해당하는 금액 또는 50억원 중 적은 금액을 말한다. <개정 2005.5.26, 2008.7.29>
(4) The "amount prescribed by Presidential Decree" in Article 45-3 (3) and (4) of the Act means the lesser of the amount equal to 10/10,000 of the net aggregate equity capital of the bank holding company, etc. or 5 billion won as the single transaction amount (excluding amounts acquired on a securities market under the Financial Investment Services and Capital Markets Act or a similar market abroad, in the case of Article 45-3 (3) of the Act).
⑤법 제45조의3제5항의 규정에 의하여 은행지주회사등은 매 분기말 현재 대주주가 발행한 주식을 취득한 규모, 분기중 보유주식의 증감액, 보유주식의 취득가격 기타 금융위원회가 정하는 사항을 매 분기말 경과후 1월 이내에 공시하여야 한다. <개정 2008.2.29>
(5) Pursuant to Article 45-3 (5) of the Act, a bank holding company, etc. shall disclose the scale of shares issued by major shareholders acquired as of the end of each quarter, the amount of increase or decrease in shares held during the quarter, the acquisition price of shares held, and other matters determined by the Financial Services Commission within one month after the end of each quarter.
⑥법 제45조의3제1항 및 이 영 제4항에 따른 은행지주회사등의 자기자본의 순합계액의 산정방법은 당해 은행지주회사등의 자기자본을 합한 금액에서 다음 각호의 규정에 해당하는 금액을 차감한 금액으로 한다. <개정 2010.1.18>

⑦ 법 제45조의3제1항 및 이 영 제4항에 따른 자기자본의 산정방법은 다음 각 호의 구분에 따른다. <개정 2010.1.18, 2021.9.29>
(7) The method of calculating equity capital under Article 45-3 (1) of the Act and paragraph (4) of this Decree is according to the following classification:
